Terms of Service

The deal for developers who earn and advertisers who fund placements. Plain terms, no surprises.

These terms govern your use of SpinWait as a developer (you run the client and earn) or as an advertiser (you fund a wallet and run placements). By using the service you agree to them.

Developer revenue share

Developers earn a 50% revenue share on the net ad revenue attributable to their impressions. The remaining 50% covers platform operation, ad sales, and payment processing. Earnings accrue per impression and are visible in your dashboard.

Payouts

Payouts are made via Stripe Connect Express once your balance reaches the configured payout threshold. You must complete Stripe's identity verification (KYC) before any payout is released. Amounts below the threshold roll forward to the next cycle.

Advertisers

Advertisers fund a prepaid wallet; spend is drawn from your balance as placements deliver. All creative is subject to moderation before it goes live and may be rejected or removed at our discretion. Placement and delivery are governed by bid mechanics - higher bids win more of the available thinking-time inventory; we make no guarantee of a specific volume or position.

Over-delivery

If we serve more impressions than your funded amount would cover, the over-delivery is free. You are never charged beyond your wallet balance.

Acceptable use

You may not submit, host, or distribute through the service:

no malware: Code, payloads, or links intended to harm or compromise devices.
no illegal content: Anything unlawful in the jurisdictions where it is shown.
no deceptive ads: Scams, fake claims, impersonation, or misleading creative.

Generating impressions through bots, automation, or other fraud voids the associated earnings.

Suspension & termination

We may suspend or terminate an account for violations of these terms, suspected fraud, or legal requirement. On termination, verified earnings already accrued remain payable to you subject to KYC and fraud review; unfunded advertiser balances are refunded less amounts already delivered.

Limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, SpinWait is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amounts you paid to or earned through the service in the three months preceding the claim.

Governing law

These terms are governed by the laws of [jurisdiction placeholder], without regard to its conflict-of-laws rules. Disputes are subject to the exclusive jurisdiction of the courts located there.
